DESIGN COMBUS OY EXTRANET USER AGREEMENT1. Acceptance of the Terms The Extranet ?site (?Site?) of Design Combus Oy (?DCombus?) is currently provided to the DCombus customers, potential customers and partners (?User? or ?You?). You can become a User also by registration as a user of the Site. Extranet is provided to the User subject to the following terms of use (?Terms?), which may be updated by DCombus without notice to you. You can review the most current version of the Terms at any time at http://www.dcombus.com/eng/sivut/14 By registering and using the Site the User accepts these Terms and shall be legally bound to them. If You do not agree to the Terms, you may not register yourself as a User nor may you access to the Site or use any services it provides. 2. Description of the SiteDCombus provides information about its? products and services as well as software updates to its? products. The Site is provided ?AS IS? and DCombus does not give any warranty for the accuracy of the information, nor does it assume any responsibility for the suitability of the Site for particular purpose and any material on the Site is provided without any warranty for availability, accuracy, reliability, content or other features. Use of the Site is solely at the User?s risk and DCombus does not assume any liability of any kind for use of the Site or delay or inability to use the Site. DCombus reserves the right at any time and for any reason to change the Site?s layout, information, content, availability and services or any other features on the Site without any notice to the User. 3. User?s registration obligations When You register yourself as the User, you agree to provide true, accurate, current and complete information about yourself as prompted by the Site?s registration form and maintain and update the registration data to keep it true, accurate, current and complete. DCombus has the sole right to decide on the acceptance of the Users. 4. Privacy policy DCombus is committed to protecting the privacy of the User in the Site. DCombus may be monitoring on a general level the number of visitors on the Site and certain other routinely provided information regarding the visits on the Site (such as IP address, web browser, pages the User has visited and time of visit). 5. Proprietary Rights The content of the Site, including but not limited to the trademarks, product marks and business marks and signs, are protected by copyright and other laws, and are owned by DCombus or third parties. All rights regarding the Site are reserved. The User may not copy the content, nor transfer, distribute or store the material provided on the Site, and may not use any of the above listed marks unless authorized by DCombus. 6. Downloadable Materials DCombus may provide downloadable material for ex. updates for softwares on the Site. The User may use the material only for the private noncommercial use or the internal business related use represented by the User. Only the right to use the material is granted to the User and the User understands and accepts that the downloadable material and any copies made thereof are owned by DCombus and are their proprietary information. The downloadable materials are subject to the Proprietary Rights under section 5. of these Terms. The User is prohibited to transfer, hand over or distribute any downloadable material or copies thereof to any third parties. The downloadable material is provided ?AS IS? and without any warranty. DCombus makes no warranty nor representation that 1) the material is error-free 2) the material will be uninterrupted and timely, 3) the material meets User?s requirements, 4) the material functions with any third party materials, including hardware and software or 5) any errors in the material will be corrected. In addition DCombus does not warrant that the software shall not violate any third party rights, is merchantable, fit for particular purpose or satisfactory in its? quality. DCombus assumes no liability in respect of the results when using the downloadable material. DCombus reserves the right at any time to change the material and does not warrant that the new version shall function without problems with the old ones. After providing a new version of the material, DCombus has no obligation to provide any support or help-desk services for the old version. DCombus has under no circumstances any obligation to provide updates for any material or give support services.Any downloading are solely at User?s risk and done at User?s discretion. The User shall be responsible for any damage to the User?s computer system or loss of data that results from the download or its? failure for any reason. From the downloaded material the User may take one copy for backup purposes and any printable written documents may be copied for User?s own use. The downloadable material may be used only for the purposes of these Terms and the User may not a) find out the preparation and manufacturing of the material, b) change or alter the material or any part of it, c) disassemble the material or any part of it, d) translate or attempt to derive the source code of the material or any part of it or by any other means to change the form of the material to the readable form, e) transfer or copy the material otherwise than expressly stated in these Terms f) cause or permit the disclosure of the material or any part of it to any third party by any means (including but not limited to testing purposes, donating, leasing, renting, sublicensing or servicing) without prior written consent of DCombus. 7. Limitation of liability DCOMBUS AND ITS? CONTRACTORS SHALL NOT BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF DCOMBUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM THE USE OR THE INABILITY TO USE THE SITE OR THE MATERIAL. In addition DCombus shall not have liability for any expenses resulting from third party claims.8. Applicable law 9. Arbitration Any dispute arising between the parties out of or in connection with these Terms shall be submitted to arbitration by single arbitrator, conducted in accordance with the arbitration rules of the Central Chamber of Commerce of Finland.
